On behalf of Lions Gate Films Inc. (the “Company”), this letter is to confirm the terms of your employment by the Company. We refer to you herein as “Employee.” The employment agreement entered into as of March 28, 2007 between Employee and the Company (the “Prior Employment Agreement”), is hereby amended and restated in its entirety. On behalf of Lions Gate Films Inc. (“Company”), this is to confirm the terms of your employment by the Company. We refer to you herein as “Employee.” Company and Employee agree that on April 1, 2007 the terms of this agreement (“Agreement”) shall replace and supersede the Employment Agreement dated December 15, 2003 between Employee and the Company, with the exception of Section 8 and Exhibit A of said agreement, which shall remain in full force and effect.
