This Vendor Privacy Exhibit (“Vendor Privacy Exhibit”) is entered into between salesforce.com, inc. (“SFDC”) and supplier (“Supplier”) as of the Effective Date set forth the Vendor Privacy Amendment and forms part of the Agreement (as defined below) between SFDC and Supplier. This Vendor Privacy Exhibit (“Privacy Exhibit”) is entered into as of the date of the last signature below (“Effective Date”) between salesforce.com, inc. (“SFDC”) and the Supplier noted in the signature lines (“Supplier”). This Privacy Exhibit applies to all activities relating to commissioned data Processing in the context of which Supplier, its affiliates and/or subsidiaries, or third parties retained by Supplier may have access to Protected Information of SFDC Customers. In case of a conflict between the terms of this Privacy Exhibit and the Agreement, the terms of this Privacy Exhibit shall preempt and control. All capitalized terms that are not expressly defined in this Privacy Exhibit will have the meanings given to them in the Agreement. In addition to the data security obligations under this Exhibit, those Supplier shall comply with the terms and conditions of Exhibit (Supplier Security Exhibit).
