These standard terms and conditions (“T&Cs”) govern the provision of certain services (“Services”) and the license of certain software (“Software”), in each case to the extent set forth in a Services Agreement (“Agreement”) that is entered into by and between WIRB – Copernicus Group, Inc., and/or one of its Affiliates (collectively, “WCG”) and the client set forth on such Agreement (the “Client”), in which these T&Cs are incorporated by reference. “Affiliate(s)” shall mean any person or entity directly or indirectly controlled by or under common control with WIRB – Copernicus Group, Inc. WCG and Client are sometimes referred to herein individually as a “Party” and collectively as the “Parties”.
