Introductory. QTS Realty Trust, Inc., a Maryland corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A (the “Underwriters”) an aggregate of 5,000,000 shares of its Class A common stock, par value $0.01 per share (the “Shares”); and GA QTS Interholdco, LLC (the “Selling Stockholder”) proposes to sell to the Underwriters an aggregate of 4,350,000 Shares. The 5,000,000 Shares to be sold by the Company and the 4,350,000 Shares to be sold by the Selling Stockholder are collectively called the “Firm Shares.” In addition, the Selling Stockholder has granted to the Underwriters an option to purchase up to an additional 1,402,500 Shares, as provided in Section 2.
