This CONTINUING DISCLOSURE AGREEMENT (the "Disclosure Agreement") dated as of July 1, 2011 is executed and delivered by the CONCORDE ESTATES COMMUNITY DEVELOPMENT DISTRICT (the "District"), MAXCY DEVELOPMENT GROUP HOLDINGS - CONCORDE ESTATES, INC., a Florida corporation ("MDCH Concorde" or "Developer"), and RIZZETTA & COMPANY, INC.
