THIS FIRST AMENDMENT TO FORWARD DELIVERY AND PURCHASE AGREEMENT (this “First Amendment”), dated and effective as of July 1, 2023, is among the CITY OF GALVESTON, TEXAS (the “Issuer”), REGIONS COMMERCIAL EQUIPMENT FINANCE, LLC, an Alabama limited liability company and its successors and assigns (“Taxable Lender”) and REGIONS CAPITAL ADVANTAGE, INC., a Tennessee corporation and its successors and assigns (“Tax-Exempt Lender” together with Taxable Lender, “Lenders”).
