This ESCROW AGREEMENT (the “Agreement”), dated as of 1, 2022, is by and between the Successor Agency to the Hercules Redevelopment Agency (the “Agency”), as successor to the Hercules Redevelopment Agency (the “Prior Agency”), and The Bank of New York Mellon Trust Company, N.A., a national banking association having a corporate trust office in Los Angeles, California, and being qualified to accept and administer the escrow hereby created (acting in such capacity, the “Escrow Bank”).
