This Amendment No. 1 (the “Amendment”) is made by and between Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a New York corporation with offices at 185 Franklin Street, Boston, MA 02110, and Northstar Telecom, Inc., a corporation with offices at 1101 Hills Road, Fremont, NE 68025 (“Northstar”), and shall be deemed effective on May 1, 2006 and in no event later than the date on which the Agreement (as defined below) takes effect (the “Amendment Effective Date”). Verizon and Northstar are hereinafter referred to collectively as the “Parties” and individually as a "Party". This Amendment covers services in Verizon’s service territory in the Commonwealth of Massachusetts (the “Commonwealth”).
