This Transfer Agreement (“Agreement”) is entered into as of June 21, 2022 (the “Effective Date”) by and between Baywood Court, a California nonprofit public benefit corporation (“Baywood”) and Eden Township Healthcare District, dba Eden Health District, a political subdivision of the State of California (“Eden”). Collectively Baywood and Eden are referred to herein as the “Parties”.
