Reference is hereby made, and the parties hereby acknowledge that Customer has executed a Letter of Participation with Premier Healthcare Alliance, L.P. ("Premier") under the U.S. Communities program and is therefore bound by that certain Group Purchasing Agreement - Foodservice between USF and Premier, effective as of July 1, 2010 (as amended, supplemented, restated or otherwise modified from time to time, the "Premier Master Group Purchasing Agreement"). Capitalized terms used herein and not otherwise defined shall have the meaning given such terms in the Premier Master Group Purchasing Agreement. USF and Customer each acknowledge and agree that in the event that the Premier Master Group Purchasing Agreement is further amended, supplemented, restated or otherwise modified from time to time, the terms and conditions of this Side Letter Agreement shall be modified accordingly to reflect such change and, provided further that in the event of a conflict between the Premier Master Group P
