is entered into this _______ day of ___________, 2022, and shall become effective on such date that Red Bird acquires the Utility System (as defined herein) (the “Effective Date”), by and between the Town of Atlantic Beach, North Carolina (“Atlantic Beach”), a North Carolina municipal corporation, and Red Bird Utility Operating Company, LLC ("Red Bird"), a North Carolina limited liability company (individually referred to as a “Party” and collectively referred to as the “Parties”).
