This Defeasance Escrow Agreement (this “Agreement”), dated as of September 30, 2020, is by and between the Massachusetts Water Resources Authority (the “Authority”) and U.S. Bank National Association, as successor Trustee (the “Trustee”), pursuant to the Bond Resolution (as hereinafter defined). Terms used in this Agreement and not otherwise defined herein shall have the same meanings assigned to them in the Bond Resolution.
