GIVEN PRIME will submit a proposal for [CUSTOMER NAME] (Customer) for services related to [PROJECT NAME] (project); and points out that each party has concluded, after carefully assessing the capabilities and interests of the other party, that reciprocal efforts in preparation for the proposal for the execution of the project (the proposal) will increase the likelihood of a prime contract award to Prime and a subcontractor award; and whereas, in accordance with the provisions of this Agreement, Prime and THE SUBCONTRACTOR have agreed to cooperate with the project, and the subcontractor has agreed under the provisions of this Agreement to cooperate exclusively with Prime in pursuit of the project
