(this “Amendment No. 2”), made and entered into as of June 27, 2017 (the “Amendment No. 2 Identification Date”), constitutes an amendment to that certain Development Services Agreement by and between the SOUTH ORANGE COUNTY COMMUNITY COLLEGE DISTRICT, a public agency (“District”), and HCTD, LLC, a Delaware limited liability company (“Development Manager”) dated June 24, 2009 (the “Original Agreement”), as amended by that certain Amendment No. 1 to Develoment Services Agreement dated as of June 28, 2011 (“Amendment No. 1”; the Original Agreement as amended by Amendment No. 1 shall be referred to herein as the “Base Agreement”). All capitalized terms not otherwise defined in this Amendment No. 2 shall have the meaning ascribed to such terms in the Base Agreement.
