The undersigned, E. J. De La Rosa & Co., Inc. (the “Underwriter”), acting in its capacity as a principal and not as an agent or fiduciary, offers to enter into this purchase agreement (the “Purchase Agreement”) with the Rosemead Financing Authority (the “Authority”) and the Rosemead Community Development Commission (the “Commission”), which will be binding upon the Authority, the Commission and the Underwriter upon the acceptance hereof by the Authority and the Commission. This offer is made subject to its acceptance by the Authority and the Commission by execution of this Purchase Agreement and its delivery to the Underwriter on or before 5:00 p.m., California time, on the date hereof. All terms used herein and not otherwise defined shall have the respective meanings given to such terms in the Indenture as hereinafter defined.
