This Continuing Disclosure Agreement (the "Agreement"), dated as of August 1, 2020, is executed and delivered by the Texas Department of Housing and Community Affairs (the "Department") and The Bank of New York Trust Mellon Company, N.A., as Trustee, in connection with the issuance of the Department's Junior Lien Single Family Mortgage Revenue and Refunding Bonds, Taxable Series 2020 (the “Series 2020 Bonds”). The Series 2020 Bonds are being issued pursuant to an Amended and Restated Junior Lien Indenture (the “Trust Indenture”), dated as of August 1, 2020, between the Department and The Bank of New York Mellon Trust Company, N.A., as Trustee, Paying Agent, and Registrar for the Series 2020 Bonds issued by the Department thereunder. All capitalized terms not defined in this Agreement shall have the meanings assigned to them in the Trust Indenture. For good and valuable consideration, the Department and the Trustee, covenant and agree as follows:
