This ESCROW AGREEMENT (this “Agreement”), dated April , 2020, is between the SANTA MONICA-MALIBU UNIFIED SCHOOL DISTRICT, a school district organized and existing under the Constitution and laws of the State of California (the “District”), and U.S. BANK NATIONAL ASSOCIATION., a national banking association organized and existing under the laws of the United States of America, acting as escrow agent for the Prior Bonds described below (the “Escrow Agent”).
