THIS MANUFACTURING AND SUPPLYAGREEMENT dated as of Februa ry 2, 2021 (the “Effective Date”) is made by and between PFIZER EXPORT BV with offices at Rivium Westlaan 142, 2909LD, Capelle aan den Ijssel, Netherlands (hereina fter “Pfizer”) and Fiduprevisora S.A., as the lega l representative and administrator of the Autonomous Patrimony of the Na tional Fund for Disa ster Risk Management – Suba ccount for the mitiga tion of emergencies COVID -19 (“FNGRD”) acting as instructed by the Director of the National Disa ster and Risk Management Unit (UNGRD), (hereina fter “Purchaser”). Purchaser and Pfizer may be referred to herein individually as a “Pa rty” or collectively as the “Parties”.
