THIS PURCHASE AND SALE AGREEMENT, together with any further escrow instructions or subsequent addenda signed by THE CITY OF AVONDALE, an Arizona municipal corporation ("Seller"), and THE TOLLESON UNION HIGH SCHOOL DISTRICT NO. 214, an Arizona public school district ("Purchaser"), shall constitute a binding contract (collectively, the "Agreement") on the part of Seller to sell to Purchaser the "Property" as hereafter defined in accordance with the terms and conditions contained in this Agreement, and to create an escrow (the "Escrow") with First American Title Insurance Company (Alix Graham) ("Escrow Agent") as escrow agent.
