AGREEMENT is made and dated as of June 4, 2002 among the Borough of Naugatuck, Connecticut, a political subdivision organized and existing under the laws of the State of Connecticut, the Water Pollution Control Authority of the Borough of Naugatuck, a water pollution control authority established by the Borough of Naugatuck pursuant to Chapter 103 of the Connecticut General Statutes (the “WPCA”; the WPCA and the Borough of Naugatuck, Connecticut are collectively referred to herein as the “Lessor”) and Naugatuck Environmental Technologies, LLC, a limited liability corporation organized and existing under the laws of the State of Connecticut and authorized to do business in the State of Connecticut (the “Lessee”).
