This Agreement (“Agreement”) shall be deemed effective as of June 27, 2002 (the “Effective Date”), between VIC-RMTS -DC, L.L.C. d/b/a Verizon Avenue (“Verizon Avenue”), a Limited Liability Company organized under the laws of the State of Delaware, with offices at Two Conway Park, 150 Field Drive, Suite 300, Lake Forest, Illinois 60045 and Verizon New England Inc., d/b/a Verizon Massachusetts, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Verizon Avenue may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
