THIS MASTER SUBSCRIPTION AGREEMENT (“Agreement”) is entered into by and between Collective Medical Technologies, Inc., a PointClickCare company (“Collective”) and County of Placer (“Subscriber”) (each a “Party” and, collectively, the “Parties”), each on behalf of itself and its Affiliates, and is effective as of July 1, 2024 (the “Effective Date”). In consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt, sufficiency, and adequacy of which are hereby acknowledged, the Parties hereby agree as follows:
