NOW, THEREFORE, for good and valuable consideration, and in consideration of the foregoing recitals and of the mutual promises, covenants and conditions herein contained, the receipt and sufficiency of which are hereby acknowledged, the Members agree the Company and the Members’ rights and obligations with respect to the Company will be governed by this Agreement, and the Manager executing this Agreement agrees to manage the Company in accordance with the terms hereinafter set forth:
