THIS NONDISCLOSURE AGREEMENT ("Agreement") is made and entered into as of this day of , 2015 ("Effective Date"), between (the “Buyer”) having an address at and Robbin Itkin, solely in her capacity as the chapter 7 trustee (the “Trustee”) of the bankruptcy estate of Hyo Dong Kim (the “Debtor”), which is the owner a number of assets, including 100% of the shares in Chung Hyun Dental Laboratory, Inc. ("CHDL") and 100% of the membership interests in HECD Properties, LLC (“HECD”) (CHDL, HECD, and any other asset in which the Debtor’s bankruptcy estate holds an interest, including assets of CHDL and HECD, are collectively referred to as the "Assets").
