DEVELOPMENT AGREEMENT (the "Agreement") is made and entered into as of the day of , 2008, by and among the CITY OF PORTLAND, OREGON, a municipal corporation of the State of Oregon, acting by and through the PORTLAND DEVELOPMENT COMMISSION, as the duly designated Urban Renewal Agency of the City of Portland (which, together with any successor public agency designated by or pursuant to law, the "Agency"), One Waterfront Place LLC, an Oregon limited liability company, formerly known as 1201 Building LLC (the "Redeveloper") and Madrona Park LLC, an Oregon limited liability company (“Madrona Park LLC”). (Agency and Redeveloper individually referred to as “Party”, and together as “Parties.”) Madrona Park, LLC, joins in the execution of the Agreement solely to evidence its agreement and obligation to comply with the provisions of Sections 1.1, 1.4.4, 7.21, 7.32,8.3, and 8.6 through 8.27 (to the extent applicable to Madrona Park, LLC)
