This Participation Agreement (this “Agreement”) is entered into as of Date (the “Effective Date”) by the Community Name, a [local government entity], having its principal offices at Community Address (“Community”) and Clean Energy Works Oregon, Inc., an Oregon nonprofit corporation, having its principal offices at 3934 NE Martin Luther King Junior Blvd., Suite 204, Portland, Oregon 97212 (“Clean Energy Works”). For purposes of this Agreement, each of Community and Clean Energy Works may be hereinafter referred to as “Party” and collectively the “Parties.”
