amended from time to time, this “Agreement”) of OBERLAND CAPITAL HEALTHCARE MASTER FUND LP, a Delaware limited partnership (the “Partnership”), is entered into as of July 15, 2013 by and among Oberland Capital Partners LLC, a Delaware limited liability company, as the general partner of the Partnership (together with any additional, substitute, replacement or successor general partner of the Partnership admitted as such pursuant to this Agreement, the “General Partner”), , in capacity as withdrawing limited partner (the “Withdrawing Limited Partner”) and each Person (as defined herein) admitted to the Partnership as a limited partner of the Partnership (each, a “Limited Partner” and, collectively, the “Limited Partners”).
