This Agreement (the "Agreement") is made and entered into as of (the "Effective Date") by and between AQUEDUCT ENTERTAINMENT, LLC (hereinafter "Company") on the one hand and (hereinafter "Investor") on the other hand, in connection with Investor's provision of funds to Company for the purpose of producing, completing, delivering, and marketing the motion picture presently entitled "The Adversary" (the "Picture").
