THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made as of March 23, 2018 by and among Winn-Dixie Montgomery Leasing, LLC, a Florida limited liability company (“Winn-Dixie”), and Samson Merger Sub, LLC, a Texas limited liability company (“Samson”, and together with Winn-Dixie, “Sellers” or “Tenants” and each individually, as applicable, a “Seller”), the respective affiliates of Piggly Wiggly Alabama Distributing Company, Inc., an Alabama corporation, listed on the attached Addendums A, B, C, D, E, F, G, H, and I (the “Addendums”) (“Buyer”, and collectively with Sellers, the “Parties”), and Wallace, Jordan, Ratliff & Brandt, LLC, an Alabama limited liability company (“Escrow Agent”).
