This Membership Interest Purchase Agreement (this “Agreement”) is dated May 26, 2015 (the “Execution Date”), and is by and between CGAS Properties, L.P., a Delaware limited partnership (“Seller”) and M3 Ohio Gathering LLC, a Delaware limited liability company (“Purchaser”). Seller and Purchaser are sometimes referred to individually as a “Party” and collectively as the “Parties.”
