WHEREAS the Parties entered into a Memorandum of Understanding (“MOU”) dated February 5, 2020 to set forth the terms Transportation Alternatives Funding for design and construction of a 12 foot wide, 1.5 mile shared-use path as set forth in Exhibit 1 of the MOU; and
