As of the Effective Date Numerix and Company (collectively and individually, Numerix and Company are referred to as “Disclosing Party” or “Receiving Party” as appropriate) wish to protect and preserve the confidential and/or proprietary nature of information and materials which may be disclosed or made available to each other in connection with certain discussions or dealings between the parties by Company (the “Purpose”) pursuant to this Mutual Confidentiality and Non-Disclosure Agreement (this “Agreement”).
