This MEMORANDUM OF UNDERSTANDING (this “MOU”), dated this day of October, 2022, summarizes the principal terms and understandings of the CITY OF HARDEEVILLE, SOUTH CAROLINA (the “City”), a municipality and political subdivision of the State of South Carolina (the “State”), and SLF III-HARDEEVILLE, LLC (the “Owner”), a limited liability company organized and existing under the laws of the Texas, in connection with a proposed amendment of that certain Development Agreement by and between City and Copper Station Holdings, LLC dated April 27, 2006 and recorded in the Office of the Register of Deeds for Jasper County, South Carolina in Book 423 at Page 1 (as amended, the “Development Agreement”) and certain commitments and intentions of the City and the Owner in connection therewith. This non-binding MOU is intended to serve as an aid to further negotiations and to the eventual completion of a definitive amendment and other documents related to the transactions described herein.
