Capitalized terms used but not otherwise defined herein have the meanings assigned to such terms in the Agreement and Plan of Merger dated as of the date of this Noncompetition Agreement (the “Merger Agreement”) among Parent, Octagon Acquisition Corp, a Delaware corporation and wholly-owned subsidiary of Parent (“Acquisition Sub”), and OPNET Technologies, Inc., a Delaware corporation (the “Company”).
