Greystone Housing Impact Investors LP (the “Partnership”) is a Delaware limited partnership whose primary governance document is the [Second] Amended and Restated Agreement of Limited Partnership dated December 5, 2022, as amended from time to time (the “Partnership Agreement”). The Partnership Agreement vests management of the Partnership in the Partnership’s general partner, America First Capital Associates Limited Partnership Two (the “General Partner”), which is controlled by its general partner, Greystone AF Manager LLC (“Greystone Manager”). The members of the Board of Managers of Greystone Manager (the “Board”) act as the mangers (and effectively as the directors of) the Partnership.
