This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of November 20, 2002 (the “Effective Date”), between Camarato Distributing, Inc. d/b/a New-Phon (“Camarato”), a corporation organized under the laws of the State of Illinois, with offices at 900 Camarato Drive, Herrin, IL 62948 and Verizon North Inc. and Verizon South Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 8001 West Jefferson, Ft. Wayne, IN 46804 (Verizon and Camarato may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
