THIS AGREEMENT is made and entered into by the Health and Human Services Commission (HHSC), an administrative agency within the executive department of the State of Texas, having its principal office at 4900 North Lamar Boulevard, Austin, Texas, 78751, and a corporation that offers or administers a Medicare Advantage Dual Eligible Special Needs Plan (Medicare Advantage Dual Eligible Special Needs Plan or MA Dual SNP), organized under the laws of the State of Texas and having a principal place of business at HHSC and MA Dual SNP may be referred to herein as a "Party" or, collectively, as the "Parties." This Agreement supersedes and replaces any version of an agreement between the Parties that affects the subject matter of this Agreement and that was signed before the date on which this Agreement is signed.
