This Settlement Agreement (“Agreement”) is made and entered into this 11th day of September 2017 (“Execution Date”) by and between Eberspächer Exhaust Technology GmbH & Co. KG and Eberspächer North America Inc. (together, “Eberspächer”), and End- Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Exhaust Systems (“Settlement Class”), as more particularly defined in Paragraph 12 below.
