The undersigned, Raymond James & Associates, Inc. (the “Underwriter”), offers to enter into this bond purchase agreement (this “Bond Purchase Agreement”) with the Industrial Development Authority of the County of Campbell, Virginia (the “Issuer”) and the County of Campbell, Virginia (the “County”) which, upon the Issuer’s and the County’s acceptance of this offer, will be binding upon the Issuer and the Underwriter. This offer is made subject to the Issuer’s and the County’s acceptance of this Bond Purchase Agreement, which acceptance shall be evidenced by the execution of this Bond Purchase Agreement by a duly authorized officer of the Issuer and the County, on or before 6:00 p.m., Eastern Time, on November , 2023, and delivery of the executed Bond Purchase Agreement to the Underwriter. Upon such acceptance, execution and delivery, this Bond Purchase Agreement shall be in full force and effect in accordance with its terms and shall be binding upon the Issuer and the Underwriter.
