This AGREEMENT (the “Agreement”) dated January 22, 2020 (the “Effective Date”), is entered into by and between CELADON GROUP, INC. (“Celadon”), a Delaware corporation, and any of Celadon’s subsidiaries that becomes a signatory hereto (together with Celadon, “Seller”), and P.A.M. TRANSPORTATION SERVICES, INC., a Delaware corporation (“Buyer”).
