This letter agreement is being entered into in connection with the investment by Platinum Falcon B 2018 RSC Limited (the “LP”) in AP Highlands Co-Invest, L.P., a Cayman Islands exempted limited partnership (the “Partnership”), pursuant to the Amended and Restated Agreement of Exempted Limited Partnership of the Partnership, dated December 21, 2018 (the “Partnership Agreement”). For purposes of this letter agreement, references to a “Limited Partner” shall be deemed to include any limited partner of any Parallel Fund. Each capitalized term used and not otherwise defined herein shall have the meaning given to such term in the Partnership Agreement or in the partnership agreement of the applicable Parallel Fund, as the case may be.
