The undersigned (the “Purchaser”), on its own behalf, and, if applicable, on behalf of those for whom the undersigned is contracting hereunder as trustee or agent (a “Beneficial Purchaser”), hereby subscribes for and agrees to purchase the number of flow-through common shares of the Company (“FT Shares”) set out below at a price of CDN$0.30 per FT Share, which shall qualify as a “flow-through share” as defined in subsection 66(15) of the Income Tax Act (Canada). This agreement, which for greater certainty includes and incorporates the attached Schedules, as each may be amended, supplemented or restated, is referred to herein as the “Subscription Agreement”. The Purchaser agrees to be bound by the terms and conditions set forth in the attached “Terms and Conditions of Subscription” including without limitation the representations, warranties and covenants set forth in the schedules attached thereto.
