THIS AGREEMENT TO INTERCONNECT AND OPERATE NATURAL GAS PIPELINE FACILITIES ("Agreement"), is entered into and made effective this __ day of ______________, 2001, by and between, RIO NOGALES POWER PROJECT, L.P., a Delaware limited partnership, ("RNP"), and HOUSTON PIPE LINE COMPANY, a Delaware corporation, ("HPL"). (RNP and HPL are sometimes referred to individually as "Party" and collectively as "Parties").
