THIS COMMUNITY BENEFITS AGREEMENT (this “Agreement”), dated and entered into as of this _ day of , 2019, is made by and between CITY OF MIAMI, a municipal corporation of the State of Florida, having its principal office and place of business at 3500 Pan American Drive, Miami, Florida 33133 (“City”) and MIAMI FREEDOM PARK, LLC, a Delaware limited liability company, having its principal office and place of business at 800 Douglas Road, 12th Floor, Coral Gables, Florida 33134 (hereinafter called “MFP” and together with the City, collectively, referred to herein, as the “Parties” and each, individually, as a “Party”). Capitalized terms used in this Agreement, without being defined elsewhere herein, shall have the meanings set forth in Article 1 hereof.
