On August 26, 2020, Tapinator, Inc., a Delaware corporation (the “Company”), entered into a Board of Directors Agreement (the “Directors Agreement”) with Teymour Farman-Farmaian, the Company’s non-employee member of the Board of Directors (the “Board”), to replace in its entirety the Board of Directors Agreement between the Company and Mr. Farman-Farmaian dated December 14, 2015 (the “Previous Agreement”) which expired by its terms on April 1, 2020. The Directors Agreement and the Previous Agreement are substantially similar except that the Directors Agreement increases Mr. Farman-Farmaian’s quarterly cash compensation from $5,000 to $10,000. The Directors Agreement was approved by the disinterested members of the Board.
