THIS POWER PURCHASE AND SALE CONTRACT (the "Contract"), dated as of the date of last signature below (the "Effective Date"), by and between the City of the Town of Greenfield, Massachusetts, whose offices are located in Greenfield Town Hall at 14 Court Square in Greenfield, MA 01301 (“Greenfield"), and Axio Green Solar, LLC, a Delaware limited liability company, with offices at 40 Garden Street, Poughkeepsie, NY 12601 (“Axio Green”). Greenfield and Axio Green may be referred to herein, collectively, as the “Parties,” and, individually, as a “Party.”
