This Amended and Restated Intergovernmental Agreement (this "Agreement"), dated as of , 2010 ("Effective Date"), by and among the City of Tucson, Arizona, a municipality duly incorporated and validly existing pursuant to the laws of the State of Arizona ("City of Tucson"), the City of South Tucson, Arizona, a municipality duly organized and validly existing pursuant to the laws of the State of Arizona ("South Tucson") and the Rio Nuevo Multipurpose Facilities District, a tax-levying public improvement district and a political taxing subdivision of the State (the "District"). The City of Tucson and South Tucson are collectively referred to herein as the "Municipalities." The District and the Municipalities are collectively referred to herein as the "Parties."
