This Debt Assignment and Assumption Agreement (this “Assignment Agreement”) is entered into as of April 4, 2018, by and between Uneeqo, Inc., a Nevada corporation (the “Assignee” or the “Company”), and Uneeqo, ltd. a United Kingdom limited corporation and wholly-owned subsidiary of Assignee (the “Assignor”). Capitalized terms used but not defined herein shall have the meanings ascribed to them in that certain Master Services Agreement, dated as of June 13, 2016 (as it may be amended in accordance with its terms, the “Master Services Agreement”), by and among Assignor and 8th Light, Ltd. (“8th Light”).
