of August 22, 2012 (this “Agreement”) by and between SATURN PARTNERS LIMITED PARTNERSHIP III, a Delaware limited partnership (the “Partnership”); SATURN PARTNERS III, LLC, a Delaware limited liability company that serves as sole general partner of the Partnership (in such capacity, the “General Partner”); and SATURN MANAGEMENT LLC, a Delaware limited liability company (the “Manager”) amends and restates that certain Management Agreement (the “Original Agreement”), dated March 31, 2011 by and among the Partnership, the General Partner and the Manager.
