This PROFESSIONAL SERVICES AGREEMENT (this “Agreement”) is made and entered into effective July 1, 2024 (the “Effective Date”) by and between CLAXTON-HEPBURN MEDICAL CENTER, a not-for-profit corporation organized and existing pursuant to the laws of the State of New York and having a principal place of business at 214 King Street, Ogdensburg, NY 13669, (the “Hospital”), and EDWARDS-KNOX CENTRAL SCHOOL DISTRICT, a New York State public school district organized and existing pursuant to the laws of the State of New York with offices located at 2512 County Route 24, Hermon, NY 13652, and a mailing address of P.O. Box 630, Russell, NY 13684-0630, (the “District”), (each a “Party” and collectively the “Parties”).
